Terms and Conditions for Business Agents

This document outlines the Terms and Conditions governing the appointment and conduct of Business Agents (hereinafter referred to as the “Agent”) associated with Salusinnovation Private Limited (hereinafter referred to as the “Company”). By entering into an agreement with the Company, the Agent agrees to comply with the following terms:

  1. Eligibility Criteria
  • The Agent must be a citizen of India.
  • The Agent must be a permanent resident of the Sub-Division or District for which they are applying to represent the Company.
  • The Agent must hold a minimum of a Bachelor’s degree from a recognized university.
  • The Agent must either own or lease a commercial office space located in the administrative town of the relevant Sub-Division or District.
  1. Exclusivity and Territory
  • The Company shall not engage in direct product sale-management within the Sub-Division or District assigned to the Agent.
  • The Agent shall sell products billed directly by the Company in their assigned District/Sub-Division.
  • The Agent shall act as the exclusive representative of the Company within their designated territory.
  1. Marketing and Branding
  • The Company shall provide marketing and advertising support to the Agent.
  • The Agent is required to prominently display the Company’s name below their agency’s name on all official documents, marketing materials, signage, and communications.
  1. Fees and Security Deposit

For Sub-Divisional Agency:

  • A refundable loyalty fee of ₹50,000 (Fifty Thousand Rupees), to be returned upon formal withdrawal from the agency, subject to full compliance with all terms.
  • An additional refundable security deposit equal to the value of the products stocked in the Company’s Sub-Divisional Store Room. This deposit will be refunded upon withdrawal of the agency and return of products, after deducting 30% of the product value and the value of products already sold.

For District Agency:

  • A refundable loyalty fee of ₹1,00,000 (One Lakh Rupees), to be returned upon formal withdrawal from the agency, subject to full compliance with all terms.
  • An additional refundable security deposit equal to the value of the products stocked in the Company’s District Store Room. This deposit will be refunded upon withdrawal of the agency and return of products, after deducting 30% of the product value and the value of products already sold.
  1. Confidentiality
  • Both the Company and the Agent agree to maintain strict confidentiality concerning pricing, cost structures, business strategies, and any other proprietary or sensitive information.
  1. Logistics and Delivery
  • The Agent must arrange for a store room and at least one Medical Representative in the name of the Company in their assigned District/Sub-Division.
  • The Agent shall bear all expenses related to the store room, delivery, and other business operations in their assigned area.
  • The Company will ensure delivery of ordered products within 7 to 10 working days from the date of order confirmation.
  • The Company shall pay the Agent’s profit margin on a weekly basis, upon submission of bills issued in the Company’s name.
  1. Performance Incentives
  • The Company may offer performance-based incentives to Agents who exceed sales targets or demonstrate exceptional performance in market expansion efforts.
  1. Licensing and Legal Compliance
  • The Agent must possess a valid Trade License issued in the name of the agency.
  • The Company shall not be held liable for any unlawful activities committed by the Agent in connection with the business.
  1. Termination and Exit Policy
  • The Agent must provide a minimum of three (3) months’ written notice in the event they wish to terminate the agency agreement.
  • Upon termination, the Agent must settle all outstanding dues and return all Company-owned assets, documents, or materials.
  1. Product Availability and Payment Terms
  • The Company shall supply only those products that are available in inventory at the time of the order.
  • The Agent is required to pay 50% of the product cost at the time of order placement and the remaining 50% upon delivery.
